ARTICLE I.
Meetings of Section Members
Section 1. Place of Meetings: All
meetings of the NCPS Practice Manager’s Section shall be held at a
predetermined location throughout the State of North Carolina or at a
location determined by the Staff of the NCPS.
Section 2. Annual Meetings: The Annual
Meeting of the NCPS Practice Manager’s Section will coincide with the Annual
Meeting of the NCPS.
Section 3. Notice of Meetings: Written
notice stating the time and place of the meeting shall be delivered not less
than thirty (30) days prior to said meeting. Notice shall be delivered
either by mail or by telephone.
ARTICLE II.
Directors
Section 1. General Powers: members of
the Executive Committee shall manage the business and affairs of the
Section.
Section 2. Number: The number of
Executive Committee members may increase of decrease by a vote of the
members of the Section, but shall not be less than two (2). Each member of
the Executive Committee shall hold the office for a period of one (1) year
or until the next Annual Meeting of the NCPS, whichever is the shorter time
period.
Section 3. Election of Executive
Committee: The members of the Executive Committee shall be elected by vote
of acclimation (or by ballot if requested by any nominee) at the Annual
Meeting of the Section. Those persons receiving the highest number of votes
shall be elected.
Section 4. Removal: Members of the Executive Committee may be removed from
their position with or without cause by a vote of the Executive Committee
members. A vote for removal shall be either by ballot or by show of hands.
If any member of the Executive Committee is so removed, a new member may be
elected at the same meeting.
Section 5. Vacancies: A vacancy
occurring in the Executive Committee may be filled by the remaining members
by an election by the members and will be elected by majority vote. The
vacancy shall be filled by vote at the Annual Meeting if the position is
vacant at that time period.
Section 6. Chair: There will be a Chair
of the Executive Committee designated by vote of either the Committee
members or members of the general Section.
Section 7. Rotation: The rotation of
the Executive Board will be as follows: Chair to Past Chair and Chair-elect
to Chair. Secretary and Treasurer positions will be elected on a one-year
period and will not be affected by a rotation.
ARTICLE III.
Meeting of Executive Committee
Section 1. Regular Meetings: A regular meeting will be held at a minimum of
two (2) times per year, with one meeting coinciding with the Annual Meeting.
Notice of said meetings will be as specified in Article 1.
Section 2. Special Meetings: Special
meetings of the Executive Committee may be called at the request of the
Chair or any member. Such meetings shall have notice as specified in Article
1.
Section 3. Quorum: A majority of the
members of the Executive Committee shall constitute a quorum for the
transaction of business at any meeting.
Section 4. Manner of Action: The action
of the members of the Executive Committee at which there is a quorum shall
be by vote of the majority of members present.
ARTICLE IV.
Officers of the Executive Committee
Section 1. Election and Term: The election of officers of the Executive
Committee shall be held at the Annual NCPS Meeting. Election and term of the
officers shall be as provided in the aforementioned Articles.
Section 2. Officers: Officers of the
Executive Committee shall constitute the following: Chair, Chair-elect, Past
Chair, Secretary/Treasurer, Membership Chair, Programming Chair,
Communication Chair, Nominations Chair, and Legislative Chair. Additions and
deletions to this list may be voted on by either the members of the
Executive Committee or by members of the Section at the regular meetings.
Section 3. Ex-Officio Member: As deemed
necessary by the membership of the Executive Committee and passed by
majority vote, there may be ex-officio members on the Executive Committee.
An example of such would be a member of the NCPS staff or provider member of
the NCPS.
Section 4. Job Duties: Job duties of
the Executive Committee officers are defined in Appendix A of said by-laws.
